Definitions
In these terms and conditions, the following definitions shall apply:
Identity of the Business Owner
CD-Keys is an independent reseller of software keys and is not affiliated with, sponsored by, or endorsed by Microsoft Corporation. Microsoft, Windows , and Office are registered trademarks of Microsoft Corporation.
Applicability
These general terms and conditions apply to any offer by the entrepreneur and to any distance contract concluded between entrepreneur and consumer.
Before the contract is concluded, the text of these terms and conditions will be made available to the consumer electronically, in such a way that it can be easily stored on a durable medium. In addition, these terms and conditions will be included with the order confirmation.
If specific product terms apply in addition to these terms and conditions, the consumer may, in the event of a conflict, always rely on the provision that is most favorable to them.
Our Selection
If an offer has a limited validity period or is subject to certain conditions, this will be explicitly stated.
The product listing includes a complete and accurate description of the digital product, detailed enough to allow for a proper assessment. Images are a true representation of the product. Obvious mistakes or errors are not binding on the seller.
For every offer, we always include the following information:
- Price includes VAT;
- that this is a digital product delivered via email;
- the key’s activation region;
- platform requirements and compatibility;
- that the right of withdrawal expires as soon as delivery begins, and under what conditions;
- Payment and delivery methods;
- the languages in which the agreement may be concluded;
- How consumers can correct input errors before finalizing their order.
When we announce a price reduction, we’ll also list the lowest price we’ve charged for that product in the previous thirty days.
The Agreement
The agreement is concluded when the consumer accepts the offer and meets the conditions set forth therein.
If the consumer accepts the offer electronically, the merchant will confirm receipt of that acceptance without delay by electronic means. Until that confirmation is sent, the consumer may cancel the agreement.
The business takes appropriate technical and organizational measures to secure the electronic transfer of data and ensures a secure web environment and secure electronic payment. The business processes personal data as described in CD-Keys’ privacy policy.
The business owner may, within legal limits, obtain information about facts that are relevant to entering into the agreement in a responsible manner. If, based on this information, there is a valid reason not to enter into the agreement, the business owner may refuse an order, providing justification, or attach special conditions to it.
Upon delivery, the consumer receives, in a format that allows for storage on a durable medium:
- the address where he can go to file a complaint;
- a clear statement that the right of withdrawal has expired and on what grounds;
- Information about post-purchase service and your legal rights in the event of a defect.
Right of Withdrawal for Digital Products
For distance contracts, the consumer generally has a 14-day cooling-off period during which they may cancel the contract without providing a reason.
For digital content that is not delivered on a physical medium, this right of withdrawal expires as soon as delivery begins, provided that the consumer, prior to purchase:
- has expressly agreed to immediate delivery, and
- has acknowledged that by doing so, he forfeits his right of withdrawal.
Both confirmations are requested separately during the ordering process and recorded in the order confirmation. This is in accordance with Article 16(m) of Directive 2011/83/EU (read here).
If the consumer has not provided those confirmations, or if delivery has not yet begun, the 14-day cooling-off period remains fully in effect. The consumer may use the model form in Article 16 for this purpose. If the consumer withdraws from the contract in a timely manner, the business will refund the amount paid without undue delay and no later than 14 days after the withdrawal, using the same payment method the consumer used to make the payment.
The prize
Prices will not be increased during the validity period specified in the offer, except for price changes resulting from changes in VAT rates.
If the seller increases the price within three months of the contract being concluded, the consumer has the right to cancel the contract.
All prices listed include sales tax. No get support now costs are charged, as delivery is exclusively digital.
All prices are subject to obvious printing and typesetting errors. In the event of an obvious error, the seller is not obligated to deliver the product at the incorrect price; the consumer will be informed immediately and may cancel the contract free of charge.
Compliance and Warranty
The seller guarantees that the digital product complies with the agreement, the specifications listed in the offer, and reasonable standards of quality and usability.
If the product delivered does not conform to the agreement, the consumer is entitled to free repair or replacement within a reasonable period of time, typically by replacing the key. If that is impossible, if the defect persists thereafter, if it is not remedied within a reasonable period, or if the defect is so serious that an immediate price reduction or termination of the contract is justified, the consumer is entitled to a price reduction or termination of the contract with a full refund. This follows from Directive (EU) 2019/770 on digital content, as transposed into Belgian law (Article 1701/1 et seq. of the former Civil Code) and Dutch law (Article 7:50aa et seq. of the Civil Code).
Refunds are processed without unnecessary delay and no later than 14 days, using the same payment method the customer used to make the purchase. No fees are charged for this.
If the consumer requests a repair, replacement, or refund, they must condition the reason for their request. To determine whether the problem lies with the key or with the consumer’s digital environment, the consumer must cooperate reasonably, for example by providing a screenshot of the error message and information about their version of Windows or Office. If the consumer does not cooperate, the burden of proof that the defect already existed at the time of delivery rests with the consumer. This follows from Article 12(4) of Directive (EU) 2019/770.
If a defect becomes apparent within one year of delivery, it is presumed that the defect already existed at the time of delivery, unless the seller proves otherwise.
The key is a one-time purchase with no subscription or recurring fees. The key remains valid for the purchased version as long as the publisher supports that version.
If a key is invalidated by the publisher within that period without the consumer having violated the key terms, the merchant will address the issue and offer an appropriate solution. This provision does not limit the consumer’s statutory rights.
Any warranty offered by the seller or publisher does not affect the rights that the consumer is entitled to under the law.
Delivery and Fulfillment
The company exercises the utmost care when receiving and fulfilling orders.
Delivery is exclusively digital, via email to the address provided by the customer. That email address serves as the place of delivery.
We strive to deliver the key within a few minutes of payment confirmation. If that’s not possible, delivery will occur within 30 days at the latest, unless a longer timeframe has been agreed upon.
If delivery is delayed, or if an order cannot be fulfilled or can only be partially fulfilled, the seller must notify the consumer no later than one month after the order is placed. In that case, the consumer may cancel the agreement free of charge and is entitled to any compensation.
In the event of cancellation, the merchant will refund the amount paid within 14 days at the latest, using the same payment method the consumer used to make the purchase, unless the consumer expressly agrees to a different method. No fees will be charged for the refund.
If delivery of an ordered product proves impossible, the seller will make every effort to offer an equivalent alternative. This will be clearly and understandably communicated no later than at the time of delivery. The right of withdrawal cannot be excluded in the case of a replacement product.
Payment
Payment is made using the payment methods offered on the website. The key is released as soon as payment is confirmed.
The consumer is required to promptly report any inaccuracies in the payment information provided or listed to the merchant.
In the event of non-payment, the business has the right, subject to legal restrictions, to charge the reasonable costs that were disclosed in advance.
If there is a problem with the delivery—for example, a code that does not work or was not received—the consumer must report it to the seller as soon as possible, stating the reason, so that the seller can investigate and resolve the issue.
Complaints Procedure and Disputes
The business has a clear complaints procedure and handles every complaint in accordance with this procedure.
- Submitting a Complaint: If the consumer hasa complaint regarding the performance of the agreement, they must submit it to the business within two months of discovering the defect, providing a complete and clear description of the issue, along with their order number and the reason for the complaint, via email at info@cd-keys.uk or via the contact form. This time limit does not restrict the consumer’s legal rights in the event of a defect. In the event of a complaint, the consumer should always contact the business first so that a suitable solution can be sought together.
- Response within 14 days:The business will respond, whenever possible, within 14 days of receiving the complaint. If a complaint requires a longer processing time, the consumer will receive a confirmation of receipt within those 14 days, indicating when they can expect a more detailed response.
- Free Mediation: The business is a member of WebwinkelKeur. If the parties cannot reach an agreement, the consumer can turn to WebwinkelKeur, which provides mediation free of charge.
Consumers can check whether a business has a current membership by consulting WebwinkelKeur’s member list. More information is available at webwinkelkeur.uk.
If mediation by WebwinkelKeur does not lead to a resolution, the consumer may submit the complaint to the independent dispute resolution committee designated by WebwinkelKeur. In that case, the consumer may be charged a fee.
Additional or Different Terms
Any additional provisions or provisions that deviate from these terms and conditions may not be to the detriment of the consumer and must be set forth in writing or in such a way that the consumer can easily store them on a durable medium.
Changes to the Terms and Conditions
The company reserves the right to modify these terms and conditions. For existing agreements, the version in effect at the time the agreement was entered into shall always apply.
In the event of a conflict with other terms and conditions to which explicit reference is made, these terms and conditions shall prevail, unless the other provision is more favorable to the consumer (see Article 3).
Applicable Law and Jurisdiction
Belgian law applies to agreements between the business and the consumer.
Source of the Keys
The keys we offer are sold within the European Economic Area. We purchase them and resell them digitally.
The Court of Justice of the European Union ruled in the UsedSoft v. Oracle (C-128/11) that the right holder’s distribution right is exhausted as soon as a copy of a computer program has been placed on the market within the EEA, with the right holder’s consent, for an indefinite period in exchange for payment. A subsequent acquirer of such a key is therefore considered a lawful acquirer within the meaning of Article 5(1) of Directive 2009/24/EC and may use the program. See the Court’s press release.
For some products, activation is done by phone through the publisher’s automated activation service. This is a standard activation method. We indicate this in advance for the relevant product, and our help desk guides customers through the process.
Be sure to check out our refund policy as well.
Model Withdrawal Form
If a consumer wishes to exercise their right of withdrawal, they may send the information below via email to info@cd-keys.uk. Use of this form is not mandatory; any other unambiguous statement is also sufficient.
