Terms and Conditions

For the purposes of these terms and conditions, the following definitions apply:

CD-Keys is an independent reseller of software keys and is not affiliated with, sponsored by, or endorsed by Microsoft Corporation. Microsoft, Windows , and Office are registered trademarks of Microsoft Corporation.

These terms and conditions apply to every offer made by the business and to every distance contract concluded between the business and the consumer. Before the contract is concluded, the text of these terms and conditions will be made available to the consumer electronically, in such a way that it can easily be stored on a durable medium. In addition, these terms and conditions will be included with the order confirmation. If, in addition to these terms and conditions, specific product terms and conditions also apply, the consumer may, in the event of a conflict, always rely on the provision that is most favorable to them.

If an offer has a limited validity period or is subject to conditions, this will be explicitly stated. The offer includes a complete and accurate description of the digital product, detailed enough to allow for a proper assessment. Images are a true representation. Obvious mistakes or errors are not binding on the business. For each offer, we always include the following:

When we announce a price reduction, we’ll also list the lowest price we’ve charged for that product in the previous thirty days.

The agreement is concluded the moment the consumer accepts the offer and meets the conditions set forth therein. If the consumer accepts the offer electronically, the business will confirm receipt thereof without delay by electronic means. As long as that confirmation has not been sent, the consumer may rescind the contract. The merchant takes appropriate technical and organizational measures to secure the electronic transmission of data and ensures a secure web environment and secure electronic payment. The merchant processes personal data as described in CD-Keys’ privacy policy. The merchant may, within legal limits, inquire about facts relevant to the responsible conclusion of the contract. If, based on such information, there is a valid reason not to enter into the contract, the merchant may refuse an order, stating the reasons, or subject it to special conditions. Upon delivery, the consumer will receive, in a manner that allows for storage on a durable medium:

For distance contracts, the consumer generally has a 14-day cooling-off period during which they may cancel the contract without providing a reason. For digital content not delivered on a tangible medium, this right of withdrawal expires as soon as delivery begins, provided that the consumer, prior to purchase:

Both confirmations are requested separately during the ordering process and recorded in the order confirmation. This is in accordance with Article 16(m) of Directive 2011/83/EU (read here). If the consumer has not provided these confirmations, or if delivery has not yet begun, the 14-day cooling-off period remains in full effect. The consumer may use the model form in Article 16 for this purpose. If the consumer withdraws from the contract in a timely manner, the business must refund the amount paid without undue delay and no later than 14 days after the withdrawal, using the same payment method the consumer used to make the payment.

Prices will not be increased during the validity period specified in the offer, except for price changes resulting from changes in VAT rates. If the business increases the price within three months of the conclusion of the agreement, the consumer is entitled to terminate the agreement. All listed prices include VAT. No get support now costs are charged, as delivery is exclusively digital. All prices are subject to obvious printing and typesetting errors. In the event of an obvious error, the merchant is not obligated to deliver the product at the incorrect price; the consumer will be informed of this immediately and may terminate the contract free of charge.

The seller guarantees that the digital product complies with the agreement, the specifications stated in the offer, and the reasonable requirements of quality and usability. If the delivered product does not conform to the agreement, the consumer is entitled to free repair or replacement within a reasonable period, typically by replacing the key. If that is impossible, if the defect persists thereafter, if it is not remedied within a reasonable period, or if the defect is so serious that an immediate price reduction or termination of the contract is justified, the consumer is entitled to a price reduction or termination of the contract with a full refund. This follows from Directive (EU) 2019/770 on digital content, as transposed into Belgian law (Article 1701/1 et seq. of the former Civil Code) and Dutch law (Article 7:50aa et seq. of the Civil Code). A refund must be made without undue delay and no later than 14 days, using the same payment method the consumer used to make the payment. No fees will be charged for this. If the consumer requests repair, replacement, or a refund, they must condition the reason for their request. To determine whether the problem lies with the key or with the consumer’s digital environment, the consumer shall cooperate reasonably, for example by providing a screenshot of the error message and information about their version of Windows or Office. If the consumer does not cooperate, the burden of proof that the defect already existed at the time of delivery rests with the consumer. This follows from Article 12(4) of Directive (EU) 2019/770. If a defect becomes apparent within one year of delivery, it is presumed that the defect already existed at the time of delivery, unless the business proves otherwise. The key is a one-time purchase and does not involve a subscription or recurring fees. The key remains valid for the purchased version as long as the publisher supports that version. If a key is declared invalid by the publisher within that period without the consumer having violated the key terms, the merchant will investigate the matter and offer an appropriate solution. This provision does not limit the consumer’s statutory rights. Any warranty program offered by the merchant or the publisher does not affect the rights that the consumer may exercise under the law.

The business exercises the utmost care when receiving and fulfilling orders. Delivery takes place exclusively digitally, via email to the address provided by the customer. That email address serves as the place of delivery. We strive to deliver the key within a few minutes of payment confirmation. If this is not possible, delivery will in any case take place within 30 days, unless a longer period has been agreed upon. If delivery is delayed, or if an order cannot be fulfilled or can only be partially fulfilled, the business will notify the consumer no later than one month after the order is placed. In that case, the consumer may terminate the agreement free of charge and is entitled to any compensation. Upon termination, the merchant will refund the amount paid within 14 days at the latest, using the same payment method the consumer used to pay, unless the consumer expressly agrees to a different method. No fees will be charged for the refund. If delivery of an ordered product proves impossible, the merchant will make every effort to offer an equivalent alternative. This will be clearly and comprehensibly communicated no later than at the time of delivery. The right of withdrawal cannot be excluded in the case of a replacement product.

Payment is made using the payment methods offered on the website. The key is released as soon as payment is confirmed. The consumer is obligated to immediately report any inaccuracies in the payment details provided or listed to the business. In the event of non-payment, the merchant has the right, subject to legal limitations, to charge the reasonable costs previously communicated. The consumer must report any delivery issues—such as a code that does not work or was not received—to the business as soon as possible, stating the reason, so that the business can investigate and resolve the problem.

The business has a clear complaints procedure and handles every complaint in accordance with this procedure.

Consumers can check whether a business has a current membership by consulting WebwinkelKeur’s member list. More information is available at webwinkelkeur.uk. If mediation by WebwinkelKeur does not lead to a resolution, the consumer may submit the complaint to the independent dispute resolution committee designated by WebwinkelKeur. In that case, the consumer may be charged a fee.

Any additional provisions or provisions deviating from these terms and conditions may not be to the detriment of the consumer and must be set forth in writing or in such a way that the consumer can easily store them on a durable medium.

The business may amend these terms and conditions. For an existing agreement, the version in effect at the time the agreement was concluded shall always apply. In the event of a conflict with other terms and conditions to which explicit reference is made, these terms and conditions shall prevail, unless the other provision is more favorable to the consumer (see Article 3).

Belgian law applies to agreements between the business and the consumer.

The keys we offer have been placed on the market within the European Economic Area. We purchase them and resell them digitally. The Court of Justice of the European Union ruled in the UsedSoft v. Oracle case (C-128/11), that the right holder’s distribution right is exhausted as soon as a copy of a computer program has been placed on the market within the EEA with the right holder’s consent, for an indefinite period and in exchange for payment. A subsequent acquirer of such a key is therefore considered a lawful acquirer within the meaning of Article 5(1) of Directive 2009/24/EC and may use the program. See the Court’s press release. For some products, activation is performed by phone via the publisher’s automated activation service. This is a standard activation method.
